CarComfort Service Provider Non Disclosure Agreement (NDA)

This Non‑Disclosure Agreement (“NDA”) is entered into as of today’s date, by and between CarComfort and Service Providers. This agreement outlines the terms, conditions, responsibilities, and policies governing the relationship between CarComfort (“CarComfort,” “we,” or “the Company”) and all registered Service Providers (“Service Provider,” “Provider,” or “you”). Contractors acknowledge and agree they are an independent contractor, not employees, agents, or representative of CarComfort. Contractors are solely responsible for their own taxes, insurance, licensing, and compliance with applicable laws. Vehicles are provided to CarComfort service providers solely for the purpose of performing valet EV charging and car wash services.

Confidential Information

This includes all non‑public information disclosed by CarComfort to the Service Provider, whether oral, written, electronic, or otherwise, including but not limited to:

  • Business operations, customer data, pricing, and internal processes
  • Technical data, software, APIs, system architecture
  • Vendor lists, customer lists, and operational procedures
  • Any information marked or reasonably understood to be confidential
  • Any information regarding any customer learned pursuant the service provider relation with CarComfort

Exclusions

Information is not considered confidential if it:

  • Was already known to the Receiving Party without restriction
  • Becomes public through no fault of the Receiving Party
  • Is independently developed without reference to CarComfort’s information
  • Is lawfully obtained from a third party without breach of any obligation

Obligations of the Service Provider

The Receiving Party agrees to:

  • Use the same degree of care used to protect its own confidential information (not less than reasonable care)
  • Not disclose, copy, publish, or distribute Confidential Information
  • Not use Confidential Information for any purpose other than performing services for CarComfort
  • Restrict access to employees/contractors strictly on a need‑to‑know basis

Permitted Disclosures

Disclosure is allowed only when required by law, and only after providing prompt written notice to CarComfort so it may seek protective measures.

Term and Duration

This Agreement begins on the Effective Date and remains in effect until after termination of the service relationship. Confidentiality obligations survive termination.

Return or Destruction

Upon request, the Receiving Party must return or destroy all confidential materials, including electronic copies.

No License Granted

Nothing in this Agreement grants the Receiving Party any rights to CarComfort’s intellectual property.

Remedies

Unauthorized disclosure may cause irreparable harm. CarComfort is entitled to seek injunctive relief and any other remedies available at law or equity.

Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict‑of‑law principles.

Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes all prior discussions.

Signatures

Service providers acknowledge that they have read and understood this agreement and may confirm acceptance either by e-signing or by checking the “I agree” box.
